TERMS AND CONDITIONS


1. Definitions

In these Terms and Conditions (“Terms”), unless the context otherwise requires:

  1. “Company”, “We”, “Us”, “Our” means App2One Limited, a company incorporated in Hong Kong.

  2. “Client”, “You”, “Your” means any individual or entity accessing our Website, submitting information, or engaging in our Services.

  3. “Website” includes all sites operated by App2One Limited, including but not limited to:

    https://app2one.com and https://odoo-hk-rebate.app2one.com.

  4. “Services” refers to all consultation, design, development, implementation, training, support, hosting integration, maintenance, and related services offered by App2One Limited.

  5. “Content” means all text, images, documents, logos, code, and materials appearing on or delivered through our Website or Services.

  6. “Third-Party Services” means all tools not owned by App2One, including Odoo, cloud platforms, APIs, payment providers, and external integrations.

  7. “Rebate Program” means any promotional rebate or incentive offered by App2One Limited, including the 8% Odoo Enterprise rebate.

  8. “Agreement” means these Terms and any notices, policies, or addendums published or referenced by App2One Limited.

2. Acceptance of Terms

By using the Website, submitting your information, or engaging App2One Limited’s Services, you agree to these Terms.

If you do not agree, you must cease using our Website or Services immediately.

3. Eligibility

To use our Services, you must:

  • Be at least 18 years old

  • Provide accurate and truthful information

  • Have legal capacity to enter into agreements under Hong Kong law

4. Scope of Services

App2One Limited provides (but is not limited to):

  • ERP / CRM / POS / Accounting system implementation

  • Odoo Enterprise consultancy & customization

  • System integration & migration

  • Web development & API integration

  • Cloud infrastructure setup

  • Technical support & maintenance

  • Promotional referral programs (including rebates)

Specific project scope shall be defined in a quotation, proposal, or Statement of Work (SOW).

5. Rebate Program Terms (Including 8% Odoo Rebate)

  1. The Rebate Program is operated solely by App2One Limited.

  2. To qualify, the Client must:

    • Submit details through App2One’s landing page

    • Access Odoo through App2One’s official partner link

    • Maintain App2One as the registered Odoo partner of record

  3. Rebate amount is 8% of the Odoo Enterprise annual subscription fee paid by the Client.

  4. Rebate may be provided as:

    • Cash rebate

    • Service credit

    • Credit for future App2One services

  5. The Rebate becomes void if:

    • The Client changes Odoo partner

    • The Odoo subscription is cancelled, refunded, or disputed

    • False or misleading information is submitted

  6. App2One Limited may modify or discontinue the Rebate Program at any time without notice.

6. Client Responsibilities

The Client agrees to:

  • Provide accurate and timely information

  • Grant required system access or approvals

  • Use properly licensed software

  • Follow project timelines and communication requirements

  • Pay all invoices on time

  • Not misuse intellectual property belonging to App2One

App2One is not responsible for delays caused by incomplete or late Client inputs.

7. Fees, Payments, and Refunds

  1. Fees will be clearly stated in the relevant quotation, proposal, or SOW.

  2. All fees are charged in Hong Kong Dollars (HKD) unless otherwise stated.

  3. Deposits are non-refundable unless explicitly agreed in writing.

  4. Late payments may lead to:

    • Service suspension

    • Administrative fees

    • Delay of deliverables

  5. Ownership of deliverables transfers only after full payment is received.

8. Intellectual Property Rights

  1. All work, deliverables, software code, documents, and designs produced by App2One remain our property until full payment.

  2. After full payment, the Client receives a non-exclusive license to use the deliverables internally.

  3. The Client must not resell, reproduce, reverse-engineer, distribute, or modify materials without written approval from App2One.

9. Confidentiality

Both parties agree to:

  • Keep confidential information private

  • Use confidential information only for purposes of service delivery

  • Not disclose confidential information to third parties without written consent

Confidentiality obligations survive the termination of this Agreement.

10. Third-Party Services

  1. App2One may utilize or recommend third-party tools such as Odoo, AWS, Ultramsg, Google, or other APIs.

  2. App2One does not control and is not responsible for third-party service performance, updates, or outages.

  3. The Client is solely responsible for complying with third-party terms.

  4. App2One shall not be liable for any malfunction or loss arising from third-party systems.

11. Limitation of Liability

To the fullest extent permitted by law:

  1. App2One Limited is not liable for:

    • Loss of profit, revenue, or savings

    • Loss of data or system downtime

    • Business interruption

    • Indirect, incidental, special, or consequential damages

  2. Total liability for any claim shall not exceed the total amount paid by the Client for the Service giving rise to the claim.

12. Warranties Disclaimer

All Services are provided “as is” and “as available”, without warranties of any kind.

App2One does not guarantee:

  • That the system will be error-free

  • That third-party services will perform without interruption

  • Future compatibility with external system updates

  • Any guaranteed business outcome

13. Data Protection and Privacy

  1. App2One Limited complies with Hong Kong’s Personal Data (Privacy) Ordinance (PDPO).

  2. By submitting data, the Client consents to:

    • Collection and processing of personal and business data

    • Use of data for communication, service delivery, and marketing

  3. Marketing communications may be opted out at any time.

14. Termination

App2One Limited may terminate Services immediately if:

  • The Client breaches these Terms

  • Payment obligations are not met

  • Misuse of systems or intellectual property occurs

  • Illegal or unethical activity is detected

Upon termination:

  • All outstanding payments become due immediately

  • App2One may revoke access or licenses

  • No refunds will be issued unless agreed in writing

15. Amendments

App2One Limited may modify these Terms at any time.

Updates take effect once published on our Website.

16. Governing Law

These Terms are governed by the laws of Hong Kong SAR.

Any disputes shall be resolved exclusively by the courts of Hong Kong.

17. Final Decision Rights

App2One Limited reserves the sole and absolute right to make all final decisions relating to:

  1. Eligibility and participation in promotions, rebates, or incentives

  2. Acceptance, rejection, or modification of any service request

  3. Interpretation or clarification of these Terms

  4. Allocation of resources, scope, timelines, and deliverables

  5. Modification, extension, or cancellation of any program or service

All decisions made by App2One Limited are final, conclusive, and binding on all Clients and participants.
